The short version
- FuelCard is for businesses that run vehicle fleets. Cards are for business fuel and fleet expenses, not personal use.
- Cards are issued by [Issuing Bank Name], Member FDIC through Stripe Issuing. FuelCard is a technology platform, not a bank.
- The price you sign up at for each service is locked for as long as you keep that service.
- You fund one company balance and decide how much each driver's card can spend. You are responsible for every card you issue and every person you give one to.
- Report a lost, stolen or misused card right away in your dashboard or by contacting us.
- Disagreements are resolved by individual arbitration under Arizona law. You can opt out within 30 days.
This summary is for convenience only. The full Terms below control.
1Acceptance of these Terms
These Terms of Service ("Terms") form a binding agreement between [Your Company Name], LLC ("FuelCard", "we", "us" or "our") and the business entity that opens an account ("Customer", "you" or "your"). They govern your use of our website at yourdomain.com, the FuelCard dashboard, mobile apps, APIs, and the fuel cards issued through our program (together, the "Services").
By checking the box at sign-up, clicking "Create account", or using the Services, you confirm that you have read and agree to these Terms and to our Privacy Policy, and that you are authorized to bind the business you name. If you do not agree, do not use the Services.

- Balance — the funds you have loaded and made available to spend on Cards.
- Card — a physical or virtual payment card issued for your Account by the Issuing Bank.
- Cardholder or Driver — an employee, contractor or other individual to whom you assign a Card.

3Eligibility & account opening
The Services are offered only to businesses legally organized and operating in the United States, such as corporations, limited liability companies, partnerships and sole proprietorships with a valid EIN or other tax ID. The Services are not available to consumers for personal, family or household purposes.
The person creating the Account must be at least 18 years old and must be an owner, officer or employee with authority to open financial accounts for the business.
Identity verification
Federal law, including the USA PATRIOT Act and Bank Secrecy Act, requires us, Stripe and the Issuing Bank to obtain, verify and record information that identifies each business and its beneficial owners. You agree to provide true, accurate and complete information, including legal business name, EIN, address, ownership details, and the name, date of birth, address and identification number of each beneficial owner and controlling person. This verification is completed on a secure page hosted by Stripe.
We may request additional documents at any time and may decline to open, or later restrict, an Account at our discretion or the discretion of Stripe or the Issuing Bank, including where we cannot verify your information. Opening an Account does not guarantee approval to issue Cards; we review each fleet before Cards can be issued.
Keeping your account secure
You are responsible for keeping login credentials confidential, enabling available security features such as two-factor authentication, and for all activity under your Account. Notify us immediately at [email protected] if you suspect unauthorized access.
4The card program
Cards are issued by [Issuing Bank Name], Member FDIC pursuant to a license from Visa and are powered by Stripe Issuing. FuelCard is not a bank and does not itself issue cards, hold deposits or provide banking services.
Your use of Cards is also subject to the Issuing Bank's cardholder terms and to the Stripe Connected Account Agreement and Stripe Issuing terms, which you accept as part of onboarding. If those terms conflict with these Terms regarding the Cards themselves, the Issuing Bank's and Stripe's terms control.
Cards are commercial cards. They are not credit cards: there is no credit line, and a Transaction is approved only if enough Balance has been allocated to that Card and it passes the controls you set.
5Funding your balance
You fund your Balance by bank transfer (ACH or wire) from a business bank account in your company's name, or by another method we make available. Funds become available for spending once received and cleared, which may take several business days.
- Your Balance is not a deposit account, does not earn interest, and is not a line of credit.
- You authorize us and Stripe to debit your linked bank account for funding you initiate, for fees, and to recover any negative Balance.
- If a funding transfer is returned or reversed, we may reduce your Balance, decline Transactions, and charge any applicable return fee.
- Some Transactions, such as fuel pump pre-authorizations, may temporarily hold more than the final purchase amount. Held amounts are released when the merchant finalizes the Transaction.
- If your Balance becomes negative for any reason (for example, a merchant settles for more than was authorized, or a refund is reversed), you agree to repay the shortfall promptly.
When your Account closes, we will return any remaining Balance to your verified bank account, less amounts owed, after pending Transactions settle and subject to any legal hold.
6Cards, drivers & users
You may request Cards for Drivers and add Administrators to your Account. For each one, you represent that you have the person's permission to share their information with us, and you agree to:
- assign Cards only to individuals you employ or engage and who are authorized to make purchases for your business;
- tell each Cardholder the rules for using the Card and require them to keep the Card and PIN secure;
- promptly deactivate a Card when the Cardholder leaves, changes roles or should no longer have access;
- remain responsible for every Transaction made by a Cardholder or Administrator, whether or not it followed your internal policies.
Cards remain the property of the Issuing Bank and may be cancelled or reissued. Do not share Card numbers with anyone other than the assigned Cardholder.
7Permitted use & spending controls
Cards may be used only for legitimate business expenses of your company, primarily fuel and related fleet costs such as maintenance, tolls, parking and car washes, as permitted by the controls on your Account.
The dashboard lets you set controls such as per-card limits, daily or weekly limits, allowed merchant categories, allowed locations, and times of use. Controls help reduce misuse but are not guaranteed to prevent every unwanted Transaction, because merchants sometimes classify themselves in unexpected categories. You remain responsible for Transactions that pass your controls.
Where you enable odometer, vehicle or driver ID prompts at the pump, you are responsible for the accuracy of the information your Drivers enter.
8Prohibited activities
You and your Cardholders may not use the Services or Cards to:
- make personal, family or household purchases, or obtain cash, money orders, gift cards, cryptocurrency or other cash equivalents;
- buy anything illegal, or pay merchants in categories prohibited by Stripe, the Issuing Bank or the card network;
- launder money, finance terrorism, evade sanctions, or transact with persons or places subject to U.S. sanctions administered by OFAC;
- provide false information, impersonate anyone, or open Accounts for a business you do not represent;
- resell, sublicense or provide the Services to third parties as a service bureau without our written consent;
- reverse engineer, scrape, overload, probe for vulnerabilities in, or interfere with the Services;
- use the Services in a way that could expose us, Stripe or the Issuing Bank to legal, regulatory or reputational harm.
9Services, fees & billing
Choosing services
At sign-up you choose the FuelCard services your company wants. Some services are required for every Account and are always included. To add or cancel an optional service later, contact support; a cancellation takes effect at the end of the current billing period.
Current fee schedule
The services and prices currently offered to new customers are:
Our current fee schedule is available on request at sign-up.
This schedule is also published on our pricing page. A signed order form with you overrides it where the two differ.
How each charge works
- Monthly and annual fees recur from the date the service starts until it is cancelled.
- Per-card fees are charged once for each Card issued under that service.
- Per-transaction fees are charged for each settled Transaction. Declined authorizations are not charged.
- One-time fees are charged once when the service starts.
Your price is locked
If you cancel a service and add it again later, or add a new service, the price in effect at that time applies. We keep a record of the price version each Account is locked to. Price lock does not apply to taxes, to fees charged by third parties such as card networks or banks that we pass through at cost, or to changes required by law, Stripe or the Issuing Bank; we will give at least 30 days' notice of any such change where possible.
Payment
We may deduct fees from your Balance or debit your linked bank account. Fees are non-refundable except as required by law or stated in writing. You are responsible for all taxes associated with your use of the Services, other than taxes on our income. Other charges that may apply, such as returned-payment or expedited card shipping fees, are shown before you incur them.
Where we offer rebates or fuel discounts, they are promotional, may change or end at any time, and are credited only on Accounts in good standing.
11Data & privacy
Our Privacy Policy explains how we collect and use information, including information about your Administrators and Drivers. You authorize us to share information with Stripe, the Issuing Bank, the card network and our service providers as needed to provide the Services, verify identity, prevent fraud and comply with law.
You own your business data. You grant us a license to use it to provide, secure and improve the Services, and to create de-identified, aggregated data that does not identify you or any individual, which we may use for any lawful purpose.
If you connect telematics, GPS or fleet management systems, you represent that you have provided any notices and obtained any consents your Drivers are legally entitled to.
12Electronic communications & consent
You consent to receive all agreements, disclosures, notices, statements and other communications from us, Stripe and the Issuing Bank electronically, by email to the address on your Account, through the dashboard, or by text message, in accordance with the federal E-SIGN Act. Electronic communications satisfy any legal requirement that a communication be in writing.
To access them you need a current web browser, an email account and the ability to save or print documents. You may withdraw consent by contacting us, but doing so may require us to close your Account. Keep your contact details current.
By providing a mobile number, you agree that we may send account and security texts, such as verification codes and transaction alerts. Message and data rates may apply. Reply STOP to opt out of non-essential messages.
13Suspension & termination
You may close your Account at any time from the dashboard or by contacting us. We may suspend Cards, restrict functionality or close your Account, with or without notice, if we reasonably believe that you breached these Terms, that there is a risk of fraud, loss or legal violation, that information you provided is inaccurate, or if Stripe or the Issuing Bank requires it. Where permitted, we will tell you why.
On closure, all Cards are deactivated and your remaining Balance is handled as described in Section 5. Sections that by their nature should survive, including fees owed, liability, indemnification and dispute resolution, survive termination.
14Platform & intellectual property
We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes during the term of these Terms. We and our licensors own all rights in the Services, software, designs and trademarks, including the FuelCard name and logo. If you send us feedback, we may use it without obligation to you.
We may change, add or remove features. We aim to keep the Services available but do not guarantee uninterrupted access; planned maintenance and events outside our control may cause downtime.
15Third-party services
The Services rely on third parties, including Stripe, the Issuing Bank, card networks, banks, fuel merchants, and any integrations you choose to connect (such as accounting or telematics tools). We are not responsible for third-party products, services or merchants, and your use of them may be subject to their own terms.
16Disclaimers
The services are provided "as is" and "as available". To the fullest extent permitted by law, FuelCard disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the services will be error-free or uninterrupted, that every card will be accepted at every merchant, or that spending controls will prevent every unwanted transaction.
17Limitation of liability
To the fullest extent permitted by law, neither FuelCard nor its affiliates, officers, employees or service providers will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or business opportunity, arising out of or related to the services, even if advised of the possibility.
Our total liability for all claims relating to the services will not exceed the greater of (a) the fees you paid to us in the 12 months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
These limits do not apply to liability that cannot be limited by law.
18Indemnification
You will defend, indemnify and hold harmless FuelCard, its affiliates, Stripe and the Issuing Bank, and their officers, employees and agents, from any claims, losses, liabilities, fines and expenses (including reasonable attorneys' fees) arising from: your or your Cardholders' use of the Services or Cards; your breach of these Terms or of law; information you provide; or disputes between you and your Drivers, employees or merchants.
19Disputes, arbitration & governing law
Informal resolution first
Before filing a claim, contact us at [email protected] with a description of the dispute. We will try in good faith to resolve it within 60 days.
Binding arbitration
Any unresolved dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, in Maricopa County, Arizona, or remotely if both parties agree. Judgment on the award may be entered in any court with jurisdiction. Either party may bring an individual claim in small claims court, or seek injunctive relief in court to protect intellectual property.
Class action waiver
Claims may be brought only in an individual capacity, not as a plaintiff or class member in any class, collective or representative proceeding.
Opt-out
You may opt out of arbitration by emailing [email protected] within 30 days of accepting these Terms, stating your company name and that you opt out.
Governing law
These Terms are governed by the Federal Arbitration Act and the laws of the State of Arizona, without regard to conflict-of-law rules. Subject to the arbitration clause, the state and federal courts in Maricopa County, Arizona have exclusive jurisdiction.
20Changes to these Terms
We may update these Terms. For material changes we will notify you by email or in the dashboard at least 30 days before they take effect, unless a change is required sooner by law, Stripe or the Issuing Bank. The "Last updated" date shows the latest version. Continuing to use the Services after changes take effect means you accept them.
21General terms
- Entire agreement. These Terms, the Privacy Policy, any order form, and the Stripe and Issuing Bank terms referenced above are the entire agreement on this subject.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
